Breach of warranty claim - our client had found financial irregularities in the accounts of a wine merchant it had recently acquired and was considering issuing a claim against the vendor for breach of warranty.

We were instructed to establish the nature and financial effect of the misstatements identified. We set out the nature of the claim and quantum of loss in a report, which formed the basis of the letter of claim.

We were subsequently instructed to consider the merits of arguments made by the vendor in response to the claim. In particular, we advised on the valuation methodology employed by our client in calculating the offer price. We considered the impact on quantum had alternative valuation methodologies been employed. Following discussions with the vendor a satisfactory settlement for our client was agreed.
